Terms and Conditions

By accessing or using SightShark (the “Platform”, the “Service”, “we”, “our” or “us”) you agree to be bound by these Terms and Conditions (the “Terms”). If you do not agree with them, you may not access or use the Platform.

If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” refers to both you and that organisation. You must be at least 18 years old, or the age of legal majority where you live, and have the legal capacity to enter into a binding contract.

SightShark is a product owned and operated by Prowiz Analytics, a company with its registered office at SCO No. 28, Sector 27-C, Chandigarh - 160019, India. References to “SightShark”, “we”, “our” or “us” in these Terms mean Prowiz Analytics.

SightShark provides cloud-based analytics infrastructure, data integration, reporting, dashboarding and business intelligence services. The Platform may include:

• Data connectors and integrations
• Automated data pipelines
• Data warehousing services
• Dashboard generation and visualisation
• White-label reporting capabilities
• AI-ready data infrastructure
• User and workspace management
• Reporting automation and scheduling
• Data processing and storage features

We may modify, suspend or discontinue any feature at any time. Where a change materially reduces a feature you rely on, we will give you reasonable notice.

You are responsible for the confidentiality of your account credentials and for all activity conducted under your account. Tell us promptly at support@sightshark.com if you believe an account has been compromised.

You agree to provide accurate and complete information when creating an account and to keep it up to date.

You retain ownership of all data uploaded, imported or processed through SightShark (“Customer Data”).

By using the Platform you grant us permission to access, process, transform, store and display Customer Data solely to deliver the Services, as further described in our Privacy Policy. We claim no ownership of Customer Data and we do not use it to train models or to build products for anyone else.

SightShark may connect to third-party platforms including, without limitation, advertising, analytics, CRM, eCommerce and data storage services. You are solely responsible for:

• Maintaining valid access permissions
• Complying with third-party platform terms
• Obtaining all necessary authorisations
• Ensuring lawful use of connected data sources

We are not responsible for service interruptions, API limitations, policy changes or data inaccuracies originating from third-party platforms.

Customer Data may be processed, transformed, replicated, aggregated or stored in order to provide reporting, analytics and automation services.

We employ commercially reasonable safeguards to protect Customer Data; no system can guarantee absolute security.

Our collection, use and processing of personal data contained within Customer Data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You agree not to:

• Use the Platform for unlawful purposes
• Attempt unauthorised access to systems or data
• Interfere with platform performance or security
• Circumvent subscription limitations
• Upload malicious software or harmful content
• Use the Platform in violation of applicable laws or regulations

Certain Services require a paid subscription. Fees are billed according to the plan agreed with you in writing or set out in your order form. Unless otherwise agreed in writing:

• Fees are non-refundable
• Taxes are the customer's responsibility
• Failure to pay may result in suspension of the Services

We may offer trials, previews or features identified as beta. They are provided as is, without warranty or support commitment, may change or be withdrawn at any time, and are excluded from any service commitment made elsewhere in these Terms. Do not rely on a beta feature for anything you cannot afford to lose.

If you send us suggestions, feature requests or other feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use it to improve the Platform, with no obligation to compensate you. Feedback is not confidential unless you tell us it is before you send it.

We will not name you, use your logo, or publish a case study about your use of the Platform without your prior written consent. Where you have given consent you may withdraw it for future materials by writing to support@sightshark.com, and we will stop using the material within a reasonable period.

All right, title and interest in the Platform, including software, technology, trademarks, branding, dashboards, workflows and proprietary methodologies, remain the exclusive property of Prowiz Analytics. These Terms grant customers no ownership rights.

We will make commercially reasonable efforts to maintain platform availability. We do not guarantee uninterrupted access and may perform maintenance, upgrades or emergency updates that temporarily affect availability.

Both parties agree to protect confidential information disclosed in the course of using the Services. Confidential information shall not be disclosed to third parties except where required by law or necessary for service delivery. This obligation survives termination of these Terms for three (3) years.

To the maximum extent permitted by applicable law, the Platform is provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding:

• Service availability
• Data accuracy
• Platform performance
• Fitness for a particular purpose
• Non-infringement

Nothing in this section limits or excludes any statutory right or protection that cannot lawfully be excluded or limited.

You agree to indemnify, defend and hold harmless Prowiz Analytics, its officers, employees and agents from any claims, damages, liabilities and expenses (including reasonable legal fees) arising from your use of the Platform in violation of these Terms, your breach of applicable law or third-party rights, or Customer Data uploaded through your account.

Prowiz Analytics agrees to indemnify you against third-party claims alleging that the Platform, as provided by us and used in accordance with these Terms, infringes a third party's intellectual property rights, subject to the Limitation of liability below.

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential or punitive damages arising from use of the Platform.

Our total liability under these Terms shall not exceed the fees paid by the customer during the twelve (12) months preceding the claim.

These limitations do not apply to: (i) a party's indemnification obligations under these Terms; (ii) breach of confidentiality obligations; (iii) gross negligence or wilful misconduct; (iv) infringement of the other party's intellectual property rights; or (v) death or personal injury caused by negligence, to the extent such limitation is not permitted by applicable law.

Customers may terminate their subscription at any time in accordance with their subscription agreement. We may suspend or terminate access if:

• These Terms are violated
• Payment obligations are not met
• Use of the Platform presents security, legal or operational risk

On termination you have thirty (30) days to export Customer Data held by us. After that period we may delete it in line with the retention practices in our Privacy Policy, unless a longer period is required by law. Data already written to your own warehouse stays in your cloud project and is unaffected.

Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, including natural disasters, acts of government, internet or utility failures, labour disputes or other events of force majeure.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganisation or sale of substantially all of our assets.

Notices to us must be sent to support@sightshark.com or to the registered office above. Notices to you may be sent to the email address on your account or given through the Product Interface, and are treated as received on the day they are sent. Keep your account email current: a notice sent to a stale address still counts as given.

We may update these Terms from time to time. Continued use of the Platform after an update takes effect constitutes acceptance of the revised Terms.

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any dispute, controversy or claim arising out of or relating to these Terms shall be resolved by binding arbitration before a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration is Chandigarh, India, proceedings are conducted in English, and the award is final and binding on both parties.

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.

Provisions which by their nature should survive termination do so, including Customer Data, Confidentiality, Intellectual property, Disclaimer of warranties, Indemnification, Limitation of liability and Governing law.

These Terms, together with our Privacy Policy, form the entire agreement between you and Prowiz Analytics regarding the Platform and supersede any prior agreement or understanding on the subject.
